Terms & Conditions

These terms govern your use of Parqua's website and your participation in our business continuity planning education programmes. Please read them before enrolling or making an enquiry.

Section 01

Definitions

In these Terms and Conditions, the following terms have the meanings given below:

  • "Agreement" means these Terms and Conditions together with any additional terms communicated at enrolment.
  • "We", "Us", "Our" refers to Parqua, a company incorporated in Malaysia and operating at Level 22, Menara Allianz Sentral, 203 Jalan Tun Sambanthan, 50470 Kuala Lumpur.
  • "You", "User" refers to any individual who accesses our website, submits an enquiry, or enrols in a Programme.
  • "Programme" means any of the business continuity planning education offerings we provide, including BCP-001 (online course), BCP-002 (operations workshop), and BCP-003 (programme build engagement).
  • "Content" means all materials, documents, course modules, handbooks, checklists, and other materials we produce and deliver as part of a Programme.
  • "Website" means the website operated at parqua.site.
Section 02

Acceptance of Terms

By accessing our Website, submitting an enquiry, or enrolling in a Programme, you confirm that you have read, understood, and agree to be bound by this Agreement.

You must be at least 18 years of age and have the legal capacity to enter into a binding agreement in order to use our services or enrol in a Programme. If you are accessing or using our services on behalf of an organisation, you represent that you have authority to bind that organisation to this Agreement.

Section 03

Service Description

Parqua provides business continuity planning education programmes in Malaysia. Our current programme offerings are:

  • BCP-001 — Business Continuity Foundations Online Course (self-paced, per person, RM 580)
  • BCP-002 — Business Continuity Workshop for Operations Teams (two-day, in-person, per group, RM 2,950)
  • BCP-003 — Business Continuity Programme Build (consulting engagement, ~12 weeks, per engagement, RM 4,500)

Programme availability is subject to scheduling. We reserve the right to modify programme content, format, or pricing with reasonable prior notice. Geographic delivery of in-person workshops is primarily Kuala Lumpur, Malaysia.

Section 04

Access and Accounts

For BCP-001 (online course), access credentials will be provided following confirmed enrolment and payment. You are responsible for keeping your login details confidential. Access is granted for the enrolled individual only and may not be shared or transferred.

For workshop and programme build engagements, access to materials is provided to the confirmed participant group or client organisation as specified at enrolment. We reserve the right to revoke access where these terms are violated.

Section 05

Your Responsibilities

Acceptable use

You agree to use our Website and Programmes only for lawful purposes and in a manner consistent with this Agreement.

Prohibited activities

  • Reproducing, distributing, or commercially exploiting any Programme Content without our written permission
  • Sharing access credentials or providing Programme access to individuals who have not enrolled
  • Using Programme Content to create a competing product or service
  • Interfering with the Website's operation or security
  • Misrepresenting your identity or affiliation in any enrolment or enquiry submission
Section 06

Intellectual Property

All Content produced by Parqua — including course modules, workshop materials, handbooks, checklists, and facilitator materials — remains the intellectual property of Parqua. Upon enrolment and payment, you are granted a limited, non-exclusive, non-transferable licence to use the Content for your own internal professional development or, in the case of BCP-003, for internal use within your organisation.

You may not reproduce, sell, sublicence, or make Programme Content publicly available without our prior written consent. The licence granted under BCP-003 is limited to internal organisational use; it does not permit delivery of Parqua materials as part of commercial training or consulting services by a third party.

Section 07

Payment and Refunds

Pricing and payment

All prices are quoted in Malaysian Ringgit (RM) and are subject to applicable taxes. Payment is required to confirm enrolment. We accept bank transfer and online payment methods as specified at the enrolment stage.

Refund policy

  • BCP-001 (online course): A full refund is available if requested before you access the first module. Once course access has been opened, no refund is available.
  • BCP-002 (workshop): Cancellations received more than 14 calendar days before the workshop date will receive a full refund. Cancellations within 14 days of the workshop date will receive a 50% refund. No refund is available for cancellations within 48 hours of the workshop date, though a transfer to another session may be arranged subject to availability.
  • BCP-003 (programme build): Payments made for completed phases of work are non-refundable. For work not yet commenced, we will discuss a reasonable settlement based on the scope document agreed at the scoping stage.

Section 08

Programme-Specific Terms

BCP-001 — Online course

  • Access is granted for 12 months from the date of enrolment confirmation
  • No formal certificate of completion is issued; a downloadable summary card is provided for each completed module
  • Parqua may update module content from time to time; enrolled participants will have access to the updated version

BCP-002 — Workshop

  • Maximum group size is 16 participants; enrolments beyond this capacity will be declined or rescheduled
  • Workshop delivery is in English; participants are expected to have a working level of English comprehension
  • The output handbook is specific to the participating group; it should not be shared outside the enrolling organisation without our written permission

BCP-003 — Programme build

  • A written scope document is agreed before work commences; changes to scope requested after agreement may affect timeline and price
  • Client stakeholder availability for scoping interviews is required; delays caused by unavailability may affect the estimated 12-week timeline
  • Delivered materials are intended for internal organisational use only

Disclaimers

Our Programmes are provided for educational and informational purposes. They do not constitute professional advice, legal opinion, or certification under any regulatory standard. Participation in a Programme does not certify an organisation or individual as compliant with any particular standard, regulation, or framework.

We make no representation that the approaches discussed in our Programmes will prevent business disruption or that any particular outcome will be achieved by participants or their organisations.

The Website and its content are provided "as is" without warranty of any kind, whether express or implied. We do not warrant that the Website will be available, error-free, or free from viruses at all times.

Section 10

Limitation of Liability

To the fullest extent permitted by Malaysian law, Parqua's total liability to you arising out of or in connection with these Terms or any Programme shall not exceed the amount you paid for the specific Programme giving rise to the claim.

We shall not be liable for any indirect, incidental, special, or consequential loss, including loss of profit, loss of data, or business interruption, arising from your use of the Website or participation in a Programme.

Force majeure

We are not liable for failure or delay in performance where that failure or delay results from circumstances beyond our reasonable control, including but not limited to natural events, government actions, or disruptions to infrastructure.

Section 11

Indemnification

You agree to indemnify and hold harmless Parqua, its officers, employees, and representatives from and against any claims, losses, damages, or expenses (including reasonable legal fees) arising from your breach of this Agreement or your misuse of Programme Content.

Section 12

Termination

We may suspend or terminate your access to a Programme or the Website if you breach this Agreement, without prior notice and without liability to you. You may terminate your participation in a Programme subject to the refund policy in Section 07.

Sections covering intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution shall survive any termination of this Agreement.

Section 13

Dispute Resolution

Governing law

This Agreement is governed by the laws of Malaysia. Any dispute arising from or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of Malaysia.

Informal resolution

Before initiating formal proceedings, both parties agree to attempt to resolve any dispute through direct communication. Please write to [email protected] with a description of the issue. We aim to respond within 10 business days.

Malaysian consumer protection rights under the Consumer Protection Act 1999 and applicable regulations are not affected by these terms.

Section 14

General Provisions

  • Entire agreement: This Agreement constitutes the entire agreement between you and Parqua with respect to its subject matter and supersedes any prior understanding or representation.
  • Severability: If any provision of this Agreement is found to be unenforceable, the remaining provisions continue in full force.
  • Waiver: Failure by either party to enforce any provision of this Agreement shall not constitute a waiver of that provision.
  • Assignment: You may not assign your rights or obligations under this Agreement without our prior written consent. We may assign our rights to a successor entity.
  • Notices: Notices to Parqua should be sent to [email protected] or by post to our registered address.
Section 15

Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date above. For enrolled participants, significant changes affecting active enrolments will be communicated by email. Continued use of the Website or a Programme after any update constitutes acceptance of the revised Terms.
